Website Service Agreement - Complete Ownership Alternate

This agreement is between ROCSHIP, LLC ("we," "us," "ROCSHIP") and you ("you," "Client") — the person or business signing up for our services. By purchasing a ROCSHIP plan, you agree to these terms.
We've written this to be clear and readable. If something doesn't make sense, reach out and ask — ezekiel@rocship.com.
The Short Version
You're signing up for a managed Webflow website. We build it, we manage it, you pay a flat monthly fee. The website lives in your own Webflow account from day one — you own it completely. You're agreeing to a 12-month minimum. After that, it's month-to-month and you can cancel anytime. If you're not happy after your first month, you get a full refund. That's the deal.
Now here are the details.
1. What We Do
We build and manage custom Webflow websites. Your plan includes everything outlined on our pricing page at the time of purchase — design, copy, development, security, monitoring, edits, support, and ongoing management. The specific features included in your plan are listed on our pricing page and form part of this agreement.
We'll do the work professionally, meeting standard industry expectations. We reserve the right to update our service offerings, tools, and processes over time — but we won't remove core features from your active plan without notice.
2. Your Part
To keep things moving, you agree to:
- Provide the information we need to build your site (business details, brand assets, photos, feedback on drafts)
- Respond to our requests within a reasonable timeframe — usually 5 business days
- Review and approve copy, design, and content before we publish anything
- Not use your website for anything illegal, harmful, or that violates anyone else's rights
- Maintain your own Webflow account and hosting plan (see Section 8)
If delays on your end push the project timeline, that's okay — but we can't be responsible for missed deadlines caused by late feedback or missing materials.
3. Pricing and Payment
Monthly Fee
Your monthly fee is charged on the same date each month, starting from your sign-up date. The fee covers everything included in your plan — no hidden costs. Hosting is not included (see Section 8).
Setup Fee
The one-time setup fee is charged at sign-up and contributes toward the cost of the initial build — discovery, content development, design, development, testing, and launch. It does not cover the full cost of the build, which is why a 12-month minimum is part of the deal (see Section 4). It's possible the setup fee is discounted or waived through a promotion. What you see on the payment screen is the correct amount.
Price Changes
We may adjust pricing for new customers at any time. Your monthly rate won't change during your first 12 months. After that, we'll give you at least 30 days' notice before any price change takes effect. If you don't agree with a price change, you can cancel.
Late Payments
If a payment is more than 15 days overdue, we may pause our services until the balance is resolved. We'd rather not do that, so if you're having trouble, just reach out. We'll work with you.
Taxes
You're responsible for any applicable taxes. We'll collect them where required by law.
4. The 12-Month Minimum
Your plan includes a 12-month minimum starting from your sign-up date. By signing up, you agree to pay for all 12 months. You cannot cancel during this period except under the 30-day money-back guarantee (see Section 5).
If you stop paying during the 12-month period, you're still responsible for the remaining balance.
After 12 months, your plan becomes month-to-month. You can cancel anytime with 30 days' written notice to ezekiel@rocship.com.
5. The 30-Day Money-Back Guarantee
If after your first month you're not happy with the service — for any reason — we'll give you a full refund of your first month's payment and your setup fee. No awkward conversations. No hoops. Just let us know within 30 days of your sign-up date.
This guarantee covers your setup fee and your first monthly payment only.
6. Who Owns What
You Own Your Website
You own the custom design, copy, content, and assets created for your website from the beginning. The site lives in your Webflow account, and it's yours.
We Keep Our Tools
We own our general templates, reusable components, frameworks, and internal tools. You get a license to use them as they're built into your website, but they remain ours.
Your Stuff
Any materials you provide — logos, photos, brand guidelines, content — remain yours. You give us permission to use them to build and manage your website.
Our Portfolio
We may feature your website in our portfolio, case studies, and marketing materials unless you tell us otherwise in writing.
7. The 24-Month Website Refresh
Every 24 months, we refresh your website — updated design, refreshed copy, and a site that reflects where your business is now. This is included in your plan at no additional cost. The refresh is a significant update, not a complete rebuild from scratch. We'll work with you on the scope and direction.
8. Hosting and Platform
Your website is built on Webflow and lives in your own Webflow account. You are responsible for maintaining your Webflow account and hosting plan. We will need editor or admin access to your Webflow account in order to build and manage your site.
Webflow is an independent platform — we don't own it and we don't control it. In the unlikely event that Webflow changes their platform, pricing, or policies in a way that significantly affects your website, we'll communicate with you about options and next steps.
We are not responsible for Webflow outages, platform changes, hosting issues on your account, or service disruptions outside of our control.
9. Edits and Support
Your plan includes unlimited edits and same-day support Monday through Friday. "Unlimited edits" means reasonable, ongoing updates to your existing website — text changes, image swaps, new sections, new pages (within your plan's page limit), and similar requests.
Unlimited edits do not include: building a custom web application, setting up complex e-commerce, producing video or photography, complete redesigns outside the 24-month refresh cycle, or work that would constitute a new project.
If a request falls outside the scope of your plan, we'll let you know before doing any additional work and provide a separate quote if needed.
10. Uptime and Reliability
We monitor your website's uptime and address critical issues as quickly as possible. However, we do not guarantee uptime. Because the site is hosted on your own Webflow account, uptime depends on your hosting plan and Webflow's platform. Occasional downtime may occur due to Webflow platform maintenance, third-party service issues, or circumstances outside our control.
We are not liable for any losses resulting from website downtime.
11. Privacy and Confidentiality
We'll keep your business information private and only use it to provide our services. We won't share your information with third parties except as needed to deliver the service (for example, analytics tools for reporting).

12. What We Promise (and What We Don't)
What We Promise
We'll do professional work. Your website won't intentionally infringe on anyone else's intellectual property. We'll follow the law.
What We Don't Promise
We can't guarantee specific business results — more leads, more revenue, higher rankings. A great website is a strong foundation, but results depend on many factors outside our control. We provide the website and management. What you do with it is up to you.
The service is provided "as is" beyond the warranties stated above. We disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
13. Limitation of Liability
Neither of us is responsible for indirect, incidental, or consequential damages — including lost profits, lost data, or business interruption — even if we knew they might happen.
Our total liability for any claim related to this agreement won't exceed the total amount you've paid us in the 12 months before the claim.
14. Indemnification
You agree to hold us harmless from any claims, damages, or expenses arising from: content you provide that infringes on someone else's rights, your use of the website in a way that violates the law, or any breach of this agreement on your part.
We agree to hold you harmless from any claims arising from our negligence or our breach of this agreement.
15. Disputes
Governing Law
This agreement is governed by the laws of the State of Tennessee.
Resolution
If we have a disagreement, we'll try to work it out like adults first. If that doesn't work, we'll use binding arbitration in Knoxville, Tennessee through the American Arbitration Association. The prevailing party gets reasonable legal fees.
16. General Stuff
Independent Contractor. We're not your employee, partner, or agent. We're an independent contractor.
Entire Agreement. This is the whole deal. No side agreements unless they're in writing and signed by both of us.
Changes to These Terms. We may update these terms from time to time. We'll give you 30 days' notice of any material changes. Continued use of the service after that constitutes acceptance.
Assignment. Neither of us can transfer this agreement without the other's written consent, except in the case of selling the business.
Severability. If any part of this agreement is found to be unenforceable, the rest still stands.
Force Majeure. Neither of us is responsible for delays caused by things outside our control — natural disasters, pandemics, internet outages, acts of government, or similar events.
Notices. Important notices should be sent in writing to ezekiel@rocship.com or by certified mail to our business address.
No Waiver. If we don't enforce a rule once, that doesn't mean we won't enforce it later.
